01 Running thesis

One mine, one big decision

NovaGold is a single-project story. The bull case is simple: Donlin is advanced, large, and in the United States. If the project reaches construction and then production, NovaGold's 60% economic stake could become very valuable.

The project took a major turn in 2025 when NovaGold and Paulson bought out Barrick's 50% stake. NovaGold now has a 60% economic interest in Donlin Gold, while Paulson has 40%. But voting control is equal. That means NovaGold gets a bigger share of the economics, but not bigger control over key choices.

The next proof point is the Bankable Feasibility Study, or BFS. A BFS is the detailed mine plan lenders and partners use before a build decision. Fluor is the lead engineering firm, and WSP, Worley Alaska, and Hatch are handling key work packages. Management targets BFS completion in 2027, with a possible construction decision after that and commercial production around 2031.

The bear case is that Donlin may remain a valuable plan, not a mine. Litigation, tailings review, dam safety certificates, energy costs, and final capital cost estimates could all change the math. The page should be read as a construction-option story, not as a current mining business.

02 Business model

No sales yet

NovaGold does not yet make money from selling gold. It funds studies, permits, legal work, community work, and engineering for Donlin. The company records its 60% share of Donlin Gold expenses as an operating loss through the equity method.

Today, value comes from raising and spending capital wisely. In February 2026, NovaGold completed a private placement of 31,020,000 common shares at $10.00 per share, for gross proceeds of $310.2 million. As of May 31, 2026, cash and term deposits were $370.2 million.

That liquidity helps the company complete the BFS, cover corporate costs, and exercise its option to prepay the Barrick promissory note later in 2026. It does not solve the biggest funding question. Building Donlin would likely need many sources of capital, and management has pointed to government sources such as EXIM and foreign direct investment as possible pieces.

The model breaks if the final mine plan shows costs too high, if permits are lost or delayed, or if NovaGold and Paulson cannot agree on financing terms under their equal governance setup.
