A steady bank with a CRE cloud

01 Running thesis

The deal machine meets office risk

United Bankshares is a long-running regional bank compounder. Its playbook is simple: gather deposits, make loans, keep costs in line, and buy other banks when the price and fit make sense. The Piedmont acquisition shows that this model still works. It added about $2.02 billion in portfolio loans and helped drive higher net interest income in 2025.

The new wrinkle is capital return. In Q1 2026, United repurchased 1,739,501 shares for $69.43 million at an average price of $39.92. That gives shareholders another return path beside the dividend. The bank also reports a CET1 capital ratio of 13.27%, which gives it room to absorb losses if credit gets worse.

The main worry is not hard to name. United keeps adding commercial real estate loans, especially non-owner-occupied commercial real estate. In Q1 2026, commercial real estate loans rose $197.45 million from year-end 2025. Management also said there is a greater risk of loss in the office portfolio because hybrid and remote work continue to hurt office demand.

Finn's view is balanced. UBSI has a real banking franchise and a proven deal habit, but the score should not read as a clean green light. The next year depends on whether office and other non-owner-occupied commercial real estate loans stay contained, and whether buybacks create value without weakening capital.

May 2026Q1 2026 sharpened both sides of the thesis. United bought back $69.43 million of stock, but commercial real estate loans kept growing and management called out office portfolio risk.
Feb 2026The 2025 10-K confirmed that Piedmont was a major growth driver, adding about $2.02 billion in portfolio loans. It also showed real estate and construction loans at 48.16% of total loans, keeping concentration risk high.
Nov 2025Q3 2025 showed credit risk becoming real. United recorded $16.50 million of charge-offs tied to two non-owner-occupied office loans in Northern Virginia.
Aug 2025Q2 2025 gave the first clean look at Piedmont after closing. Net interest income rose year over year, helped by the larger balance sheet and the acquired loan and deposit base.
Feb 2025The first thesis framed UBSI as a traditional community bank with a long M&A record, steady dividends, and meaningful real estate lending exposure. The key debate was growth by acquisition versus credit and rate risk.
02 Business model

Deposits fund the loan book

United Bankshares makes most of its money the normal bank way. Customers place deposits in checking, savings, time, and money market accounts. United then lends that money to households and businesses. The spread between what it earns on loans and securities and what it pays on deposits is net interest income.

Fee income adds a second layer. United offers mortgage banking, asset management, trust services, brokerage, financial planning, and digital banking. Mortgage banking has been weak, with lower loan origination and sale volume in 2025, so it is not carrying the story right now.

The model breaks when borrowers stop paying or funding gets too expensive. That is why the commercial real estate mix matters so much. At year-end 2025, real estate and construction loans were 48.16% of total loans. If office values fall or tenants leave, losses can hit earnings and book value.

03 Product portfolio

What United Bank sells

Cash cow

Commercial lending

United lends to small and mid-size companies, auto dealers, service firms, retailers, and wholesalers. These loans can earn good spreads, but they depend on borrower cash flow and collateral values.

Growth engine

Commercial real estate loans

This is a large and growing part of the loan book. It includes commercial mortgages and other loans secured by business real estate, and it is the biggest risk area to watch.

Steady

Residential real estate loans

United makes traditional home loans and home equity loans. These are usually lower risk than commercial real estate, but they still depend on home prices and borrower income.

Cash cow

Deposits

Checking, savings, time, and money market deposits are the raw material for the bank. Low-cost and stable deposits help protect net interest margin.

Option

Mortgage banking

United originates residential mortgages for sale in the secondary market and does not retain servicing rights. Recent filings show pressure from lower origination and sale volume.

Option

Wealth and brokerage services

Trust, brokerage, financial planning, and asset management services add fee income. This helps diversify revenue, but it is smaller than the core lending engine.

Steady

Digital banking

Online and mobile banking let customers check balances, pay bills, move money, and manage cash. Digital service is now table stakes for keeping deposit customers.

04 Business segments

One reported segment, several profit pools

Community Banking100%modest
Legacy Mortgage Banking0%declining

United reported one operating segment and one reportable segment, community banking, for 2025. Mortgage banking was folded into United Bank in 2024, so the structured mix shows community banking at 100% and the legacy mortgage segment at 0% for reportable segment purposes.

05 Risk factors

What could break the thesis

Office CRE losses spread

High impact · Medium odds

The largest risk is non-owner-occupied commercial real estate, especially office. United already recorded $16.50 million of charge-offs in Q3 2025 on two office loans in Northern Virginia, and management later cited greater risk of loss in the office portfolio. If more office borrowers run into trouble, provisions and charge-offs could rise quickly.

We watchWatch non-owner-occupied CRE balances, office nonaccrual loans, charge-offs, and allowance changes tied to commercial real estate.

CRE concentration keeps rising

High impact · Medium odds

Real estate and construction loans were 48.16% of total loans at year-end 2025. In Q1 2026, commercial real estate loans rose another $197.45 million while management increased reserves most in the non-owner-occupied CRE segment. Growth is good only if underwriting holds up.

We watchWatch whether CRE grows faster than total loans and whether reserves rise faster than balances.

Net interest margin slips

Medium impact · Medium odds

United depends heavily on net interest income. The net interest margin moved down from 3.83% to 3.80% on a linked-quarter basis in Q1 2026. If deposit costs stay high or loan yields reset lower, earnings could disappoint.

We watchWatch quarterly net interest margin, deposit betas, and the mix of noninterest-bearing deposits.

Mortgage banking stays weak

Medium impact · Medium odds

Mortgage banking income fell in 2025 because originations and loan sale volume were lower. United does not retain servicing rights, so it depends on new activity and sales. A slow housing market can keep this fee line under pressure.

We watchWatch mortgage loan originations, loans held for sale, and mortgage banking income.

Acquisitions fail to earn back the risk

Medium impact · Medium odds

United has acquired thirty-three banking institutions since its formation in 1982, so M&A is part of the identity. Deals can add deposits, loans, and markets, as Piedmont did. They can also bring credit problems, integration costs, or dilution if the price is too high.

We watchWatch credit marks, integration costs, tangible book value, and any new deal terms.
06 Quick answers

In one breath

What does United Bankshares do?

United Bankshares owns United Bank, a regional community bank. It takes deposits, makes commercial and consumer loans, and offers mortgage, wealth, brokerage, and digital banking services.

Why is commercial real estate such a big issue for UBSI?

Real estate and construction loans were 48.16% of total loans at year-end 2025. Management also pointed to higher office portfolio risk in Q1 2026, which makes office credit quality the main item to watch.

Is UBSI only a dividend story?

No. The dividend is part of the appeal, but Q1 2026 added a new buyback angle. United repurchased 1,739,501 shares for $69.43 million during the quarter.

What is the bull case for UBSI?

The bull case is that United keeps using M&A well, holds credit losses down, and returns capital through dividends and buybacks. The CET1 ratio of 13.27% gives it a solid capital cushion.
